Our panel of M&A professionals, and those who have been through the M&A process, will discuss:

  • getting the 'house' in order and preparing for the diligence process;
  • the differences between an auction and an exclusive (negotiated) sale process;
  • types of buyers and how structure and financing can impact price, valuation and taxation;
  • dealing with employee equity and retention on sale;
  • earn-outs and rollover equity; and
  • indemnification and use of reps and warranties insurance

Moderator: Sally Anne Hughes - Founder of, and Partner at, Hughes Klaiber LLC
Sally Anne founded Hughes Klaiber, a M&A advisory firm based in NYC, in 2008. She understands the rewards and challenges of building and selling a privately held business, and the importance of a successful exit that maximizes return to the entrepreneur. Prior to founding Hughes Klaiber, Sally Anne spent 10 years with Citigroup, where she worked with both Fortune 100 companies and middle-market companies.

Panelist: Lori Smith - Partner at White and Williams LLP
Lori is a partner in the Corporate & Securities practice group, and Chair of the Business Department, at White and Williams LLP in NYC. She represents public and private companies in the negotiation of mergers and acquisitions, leveraged buyouts, equity and debt financings, private placements, strategic alliances, partnerships and joint ventures.

Panelist: Mandeep Trivedi - Principal at Citrin Cooperman
Leading the firm’s Valuation Advisory Services Practice, Mandeep manages the preparation and delivery of top-quality valuations of businesses, private equity, professional practices, and income-generating assets such as derivatives, intellectual property such as music and literary catalogs, and other complex securities.

Panelist: Andrew Roth - EVP, Head of Corporate Development & Business Integration at Weber Shandwick
Andrew is tasked with identifying best-in-class organizations for enterprise-level strategic partnerships, joint ventures, and acquisitions based on Weber’s strategic growth initiatives and need for capabilities. In addition, Andrew focuses a short- and long-term lens on Weber’s existing and new corporate strategic initiatives. Andrew was a co-founder of Bomoda, a data analytics consultancy, that was acquired by Weber in November 2017.

Panelist: Rich Prestegaard - Partner, Business Development at High Road Capital Partners
Rich is responsible for leading the Firm’s dedicated deal sourcing effort by establishing relationships with business intermediaries across the U.S. and Canada. Rich is an experienced corporate finance and business development professional who has succeeded in establishing and building client relationships through a combination of creativity and responsiveness. Prior to joining High Road in 2007, Rich was an investment banker in the consumer products and retail industry group at Barclays Capital.
