  • Organizational: When corporate counsel participates in an internal investigation, personal dynamics and relationships can be altered and influenced - the role of the Board and/or the Audit Committee and their interaction with Corporate Counsel (and each other) can present significant challenges 
  • Legal:  Upjohn warnings, ethical considerations, conflict of interest problems and confidentiality concerns
  • External: Dealing with Regulators – State, Federal, Civil and Criminal; cooperating and coordinating with outside counsel
