Addressing Challenges and Creating Value in a Changing Environment: Legal and Regulatory Environment in 2013 and Beyond

Roundtable 2 of 3

MIT Enterprise Forum of NYC (New York, NY) | March 6, 2013

White and Williams LLP is a sponsor of Addressing Challenges and Creating Value in a Changing Environment,  a series of roundtable discussions presented by The MIT Enterprise Forum of NYC to help venture capital and private equity CFOs create value within their organizations. Lori Smith, partner in the Private Equity and Venture Capital Group, is a long-time board member of the Forum and a program organizer.

Venture capital and private equity, as with other investment classes, are undergoing major changes. Deal values remain at subdued levels and a challenging fundraising market continues, all while dealing with an uncertain regulatory environment. Funds and their portfolios companies are facing the need to address a new regulatory environment and more active enforcement regime while also facing pressure from the investment community for more transparency.

This event is different from the usual MIT Enterprise Forum event as it is specifically targeted solely to executives and managers in the Venture Capital and Private Equity community.

Roundtable 1 focused on operational issues, this session will focus on legal and regulatory issues and the next will focus on accounting issues.

The legal and regulatory environment for private equity and venture capital funds and their portfolio companies continues to evolve in the wake of the Dodd-Frank Act, the JOBS Act and ongoing rulemaking and enforcement activities by federal regulators. For example, in 2012, the SEC formed the National Examination Program to promote compliance, prevent fraud, monitor risk and inform policy through risk-focused examinations. Please join us for a discussion of the following topics, among others:

        • How does SEC registration affect your business?
        • What are the new examination strategies and priorities for regulators and best practices for responding to regulatory inquiries and examinations?
        • Form PF – Key points about documentation.
        • Best practices in venture capital and private equity valuations.
        • What are the current hot topics in enforcement?
        • What does the future hold for expert networks?
        • How might the JOBS Act affect fundraising? Investment activities?
        • FATCA – The importance of planning now
