Susan Lee has substantial experience in regulatory and transactional matters with a focus on insurance. Susan regularly advises insurance companies, commercial banks, private equity funds, hedge funds, insurance intermediaries and public companies in various industries. She has extensive experience in:

  • mergers, acquisitions and other change-of-control transactions (including the insurance regulatory approvals and filings);
  • structuring, formation and licensing of regulated companies in the insurance space;
  • insurance derivatives and insurance securitization/monetization transactions;
  • corporate finance transactions, including private placements and secured and unsecured lending;
  • SEC regulatory matters, including initial public offerings, follow-on offerings and ‘34 Act filings; and
  • commercial contracts.

Susan worked as a management consultant prior to law school and also passed the C.P.A. exam. With her in-depth legal and consulting experience, she is a strategic thinker who helps her clients identify issues and manage their legal risks with practical solutions.

  • CNA Financial Corporation on its $143 million acquisition of Hardy Underwriting Bermuda Limited
  • European Finance Group formation of a series of multi-jurisdictional master and feeder funds backed by insurance linked securities - aggregate value in excess of $1.2 billion
  • National Australia Bank financing of Enstar’s acquisition of the Clarendon companies and Seabright Holdings
  • Old Mutual (Bermuda) on its global insurance business processing, compliance and management arrangements and restructuring of annuity and life businesses
  • Munich Re development of excess loss insurance and other renewable energy policies, covering photovoltaic, wind energy, geothermal and other renewable energy programs
  • Initial public offering in the United States by an Israeli company providing  solutions for the electronic payment industry
  • Longevity bond offering to institutional investors with payments linked to annuities
  • Follow-on offerings by public companies in the pharmaceutical and medical equipment manufacturing industries

Susan serves as President and Secretary of Hae Ahm (Sea Rock) Foundation, a private foundation created to increase the awareness of public service in children in honor of her grandfather.
