Michael Gallo focuses his practice on the representation of financial institutions in senior debt and mezzanine financings and corporate, real estate and venture capital transactions, including mergers and acquisitions. His representation involves drafting, negotiating and closing financial debt offerings on behalf of large national financial institutions.

Michael is experienced with Eurodollar rate financings, large syndicated and agented credit facilities, crossborder merger financings, asset-based and international trade finance transactions, mezzanine debt issues, credit-enhanced and direct purchase taxexempt bond obligations and hedge and derivative transactions involving the ISDA Master Agreement.

Representative Matters

  • Represented agent bank in documentation of $125 million syndicated credit facility to an international accounting firm in its acquisition of two separate accounting practice groups
  • Represented financial institution in its purchase of $65 million of tax-exempt bonds issued by a New Jersey state agency for the benefit of a private college
  • Represented agent bank in documentation of $75 million syndicated credit facilities to a food distribution company, to financing its acquisition and development of a new warehouse facility and provide for working capital
  • Represented financial institution in connection with $28 million senior secured credit facilities to a large chemical processing company
  • Represented financial institution in connection with senior secured credit facilities aggregating $32 million, including a term loan to partially finance an acquisition, a revolving credit facility for working capital purposes and an acquisitions facility to finance permitted acquisitions in the future, to an industry world leader in the design and manufacture of prefabricated modular steel products
  • Represented senior secured lender in connection with a $30 million revolving credit facility (including letters of credit and acceptances) to a regional franchisee of a multi-national food chain.
