Melissa is a member of the Corporate and Securities Practice Group and the International Practice Group. She concentrates her practice in the areas of general corporate, transactional and securities law matters. Melissa represents and counsels investors and public and private domestic and international companies in a diverse array of matters including general corporate governance, employment agreements, mergers, acquisitions and divestitures, equity and debt financing, private equity transactions, and other corporate and commercial matters. Melissa has substantial experience in all phases of commercial transactions, including drafting formation documents through finalizing closing and post-closing obligations. Using this experience, Melissa works closely with clients to formulate legal strategies and help clients achieve their goals in an efficient manner.
During law school, Melissa worked as a summer law clerk for Magistrate Judge David R. Strawbridge in the United States District Court for the Eastern District of Pennsylvania, as a legal intern for the Mazzoni Center, and as a certified mediator in Philadelphia Housing Court and Small Claims Court. Melissa also served as a teaching assistant for a first year Legal Research and Writing Class, as a staff member on the Temple Law Review, and as President of the Asian Pacific American Law Student Association.
Representative Matters
- Represented a private equity firm and related portfolio company in connection with increase in a credit facility and equity financing to support the securities purchase acquisition by the portfolio company of an IT services company and subsequent amendment to loan documents for increase in a credit facility, conversion to equity, and participation
- Represented pool deck equipment company in sale of the company
- Represented private equity company in investment in laundry detergent company
- Represented fluoroplastics company in sale of assets
- Represented nutraceutical company and several of its subsidiaries in sale of equity in the company, whereby an investor became the largest shareholder of the company with the option to acquire the entire company
- Represented engineering and information technology company in acquisition of equity of European company, including modification of existing loan documents, formation of Delaware and European holding companies, and coordination with multiple foreign counsel
Recognition & Involvement
Melissa was selected in a survey of her peers as a Pennsylvania "Rising Star" by Super Lawyers in 2017 and 2018.
Melissa serves as the President of the Asian Pacific American Bar Association of Pennsylvania (APABA-PA) and is active in several committees within the organization, including the Law Student Outreach Committee. In 2017, she served as Vice President of APABA-PA and co-chaired the National Asian Pacific American Bar Association (NAPABA) Northeast Regional Conference.
