Tom Rogers has been representing parties to commercial real estate transactions and financings since 1982. He has represented sellers, purchasers, landlords, tenants and lenders within the Pennsylvania, Delaware and New Jersey region, as well as nationally. His extensive experience enables Tom to solve complex transactional problems practically and efficiently.
Tom’s practice is generally comprised of two aspects. The first is representing clients in the purchase and sale of all types of commercial real estate. This includes the purchase and sale of office buildings, warehouse/industrial properties, retail properties, vacant land for future development and other commercial real estate. He handles all aspects including the transaction documentation, title and survey issues, tenant issues, environmental issues, including “brownfield” aspects, reciprocal and other easements, and local approvals.
Another significant portion of Tom’s practice is representing lenders in commercial real estate loans. Tom’s clients range from national insurance companies and other similar financial institutions to smaller, regional banks. He represents clients in the full range of commercial real estate lending, including acquisition loans, construction loans and permanent loans, including non-recourse and partial-recourse loans for large lenders.
Tom is often asked by clients to handle their most sophisticated transactions including complex construction loans and multi-state/multi-property portfolio loans. His extensive experience also includes loan restructurings, workouts and, when needed, exercising remedies including confessions of judgment, sheriff’s sales and deeds-in-lieu of foreclosure.
Tom lends his extensive experience to both clients and others by frequently speaking on a number of real estate topics, including developments in real estate law, title insurance, mechanics' liens, foreclosures and other real estate remedies. He has also coordinated client in-house programs for their underwriters, lenders and loan administrators to keep them abreast of the important real estate law issues confronting them and to help train newer loan officers.
Tom serves as co-chair of the firm’s Real Estate and Finance Groups and, as such, leads the group's lawyers in the development and administration of the practices.
Representative Matters
- Represented national lender in an $184 million commercial/industrial multi-property portfolio loan to a major REIT that included numerous complicated issues in both structuring and for collateral realization
- Represented a national lender in the $90 million refinance of a major commercial office tower in a major East Coast city
- Represented a national lender in a $61 million commercial office multi-property loan to a national REIT with numerous property-specific issues
- Represented a national lender in a $39 million commercial office multi-property loan as part of the urban renewal in a major East Coast city, including “brownfield” aspects
- Represented a national lender in a $28 million multi-property parking facility portfolio loan, including complex cash management issues
- Represented a regional construction lender in a complex $55 million university student housing construction project as part of the redevelopment of the core area of the adjacent town which included multiple aspects pertaining to the acquisition of the underlying properties and a long-term lease to the university
- Represented a regional construction lender in a $19 million construction loan for a “big box” based retail center with complex site-work security completion issues for the “big box” tenant and the local municipality
- Represented a regional construction lender in a $25 million construction loan for a “big box” based regional retail center with both “brownfield” aspects and complex site-work completion security issues
- Represented a national lender in a syndicated set of construction loan credit facilities for the redevelopment of a regional shopping mall to include new retail and residential aspects.
- Represented regional construction lender in a series of mortgage loans for the acquisition and development of a new residential communities, including age restricted housing, at a former state hospital facility
- Represented a regional lender in the restructuring and workout of $100 million plus in real estate credit facilities
- Represented a regional lender in a complicated sale of a defaulted commercial real estate loan with a deed-in-lieu of foreclosure transfer of title and subsequent new loan to the purchaser
- Represented a national life insurance company in the sale of several of their regional offices in the Pennsylvania and New Jersey area, including a large office building in Philadelphia
- Represented the seller of a commercial office building including the defeasance of the existing financing
- Represented the seller of contaminated vacant ground for a new “big box” purchaser including Act 2 (brownfield) approvals
- Represented the seller of contaminated vacant ground for possible new casino site, including the Act 2 (brownfield) aspects
- Represented an estate in the orderly sale of numerous properties, including one with environmental contamination which required Act 2 (brownfield) approval
- Represented a large residential community in its organizational restructuring
Recognition & Involvement
Tom’s experience has been recognized by his peers as he is a Fellow in the American College of Mortgage Attorneys, a national invitation-only organization formed to establish an integrated group of lawyers in each state who are highly skilled and experienced in real estate lending and related practices. He has also been named in a survey of his peers as a Pennsylvania "Super Lawyer" by Law & Politics magazine from 2004 through 2011. Tom has also been AV® rated by the Martindale-Hubbell peer review rating system.
