Bob Kargen’s career has been focused on creditors' rights, debtor's remedies, corporate reorganizations and general bankruptcy work, including the representation of Trustees. He represents financial institutions, landlords, general contractors, real estate ventures, healthcare providers, employees, consultants, asset purchasers and sellers, and secured and unsecured creditors in bankruptcy cases.
Additionally, Bob has a general commercial practice and works with entrepreneurial clients involving the formation of business entities, including partnerships, corporations and limited liability companies and provides business and financing advice. He frequently represents financial institutions and borrowers involving commercial loan transactions, some mergers and acquisitions and real estate transactions. Bob also has broad commercial experience involving the operation and management of businesses.
Bob has lectured to various trade associations, including the American Bankruptcy Institute, on a number of bankruptcy-related topics.
During law school, Bob was a member of the Order of the Coif and an Associate Editor of the Villanova Law Review.
Representative Matters
- Represented the secured creditor in connection with foreclosure of three commercial real estate projects separately deeded but contiguous to each other, some improved, and some unimproved
- Represented the secured creditor in the sale of mortgage loan documents and then represented the purchaser of the mortgage loan documents in negotiating a deed-in-lieu of foreclosure agreement
- Represented the secured creditor in an Article 9 UCC sale of assets of a jet leasing business
- Represented successful bidders at numerous Section 363 sales under the Bankruptcy Code and litigated the good faith finding in several cases
- Prepared Asset Purchase Agreements for numerous asset sales both from the seller’s perspective and the buyer’s perspective. Some of these sales occurred under Section 363 of the Bankruptcy Code and some involved out of court asset dispositions
- Restructured and revised loan documentation for golf course financing for a nationally recognized golf course financing company
- Restructured agented credit facility on behalf of secured lender for a major developer of assisted senior living facilities
- Represented four related financial printing companies in consolidated liquidating Chapter 11 proceedings which paid the secured creditor in full and a dividend to unsecured creditors of 27-1/2%
- Represented a medical software development company in a Chapter 11 restructuring converting related insider debt to equity and equitably subordinating one of the original founders’ claims to achieve confirmation
- Represented secured lender as participant in restructuring secured credit facility and dealt with difficult lead lender with respect to rights of participant under participation agreement
- Negotiated, documented and implemented out of court workout and composition of creditors in aircraft management company
Recognition & Involvement
From 2005 to 2008, Bob was selected in a survey of his peers as a Pennsylvania "Super Lawyer" by Law & Politics Magazine. He has also been AV® rated by the Martindale-Hubbell peer review rating system.
