Throughout her career at White and Williams, Raina Mehta has represented and counseled the firm’s lender clients with respect to a wide variety of financing related transactions, including transactions involving real estate financing, including acquisition and construction financing; syndicated financing, representing both the lead lender/agent and co-lenders in the transaction;  resort development financing, including acquisition, construction and receivables financing; financing of mergers and acquisitions; asset based financing; loan workouts; and the sale of distressed loans. 

A significant portion of Raina’s practice involves the acquisition, development, operation and financing of timeshare resort projects throughout the United States and her clients in this area include some of the major lenders in the resort finance sector.  Another significant portion of Raina’s practice involves representing both asset based and traditional commercial lenders.  These transactions have included single and multi-lender financings, complex intercreditor arrangements, traditional collateral (inventory, accounts and equipment), as well as more complicated collateral pools (intellectual property, investment property, mineral rights and “intangibles”).

Raina works closely with attorneys and clients to facilitate these financing transactions and is involved in all aspects of such transactions, including legal and credit structure, due diligence, loan documentation, negotiation and closing.

Raina’s professionalism, attention to detail, strong interpersonal skills and management style, together with her ability to address and analyze complex legal issues, have resulted in clients’ confidence in Raina’s ability to represent them in complex financial transactions. 

Raina has also organized and conducted various in-house training sessions for junior associates and has served as a mentor for various summer associates. She also participates in various events for the Commercial Finance Association and the American Resort Development Association. 

Raina received the Barrister's Award for Excellence in Trial Advocacy while in law school.

Raina's experience includes Resort Financing, Real Estate Financing and Asset Based/General Commercial Financing.

  • Worked with a partner to represent lender on renovation and receivables financing for multi-location deeded interest and ground lease interest timeshare project in Hawaii
  • Represented lenders in acquisition and construction of large office building complexes
  • Worked with a team of attorneys to represent lender group in large syndicated financing of bakery company involving inventory and receivables financing, real estate and equipment term loan financing, and multiple tranches of subordinate financing
  • Worked with a partner to represent lender in complex renovation, inventory, receivables and cash flow financings for timeshare project in New York
  • Represented lender in receivables financing for contract for deed timeshare projects in Missouri and Tennessee
  • Worked with a partner to represent lender in receivables financing for multi-location timeshare projects affiliated with major vacation club
  • Worked with a partner to represent lender in a syndicated receivables financing transaction for multi-location deeded timeshare projects in Florida and Virginia
  • Worked with a partner to represent lender in complex workouts of timeshare projects located in Texas and Florida
  • Represented lenders in acquisition and construction of retail shopping centers
  • Worked with a team of attorneys to represent lead lender and agent in large syndicated financing merger and acquisition of coal mining company and related real estate
  • Worked with a partner to represent lender group in inventory and receivables financing for large fragrance company

Recognition & Involvement

Raina volunteers for the Philadelphia Volunteer Lawyers for the Arts and provides volunteer services to the Committee of Seventy.
