Marlene Goldberg is a business attorney with significant experience in corporate, transactional and commercial real estate matters and is a member of the Real Estate, Finance and Business and Corporate Law Practice Groups. Marlene advises and assists clients from initial formation, growth, financing, acquisitions and sale. A number of Marlene’s clients have also noted that her professionalism, dedication and determination have contributed to the successful completion of their transactions.
Marlene represents corporate clients and provides counsel and assistance in connection with their on-going corporate and operational matters, including, preparation and negotiation of employment agreements, operating agreements, shareholder agreements, joint venture agreements, independent contractor agreements, non-competition agreements, severance agreements, distribution, creative services agreements, sales, license, manufacturing and other general business contracts.
Marlene’s transactional experience includes mergers, acquisitions and sales of businesses, financing transactions, asset based loans, and commercial leasing of office and warehouse facilities. She is involved in all aspects of these transactions including, due diligence, drafting and negotiation of sale and purchase agreements, loan documentation and closing.

- Represented lender in connection with issuance of letters of credit securing industrial development bonds
- Represented lenders in connection with the consolidation and extension of term loans secured by real property
- Represented lender in mortgage loan financing for major transportation company
- Represented purchaser with respect to the purchase of the assets of a distributor of microelectronic parts
- Represented sellers of a sports marketing and promotion company
- Represented purchaser with respect to purchase of assets of plastics manufacturer
- Represented purchaser of development agent territory for nationwide franchise
