Chunsheng (Tony) Lu focuses his practice on corporate and business matters. His experience with domestic mergers and acquisitions, Securities and Exchange Commission (SEC) reporting and compliance, and general corporate governance has allowed Tony to focus on international business transactions as well. He regularly advises U.S. clients doing business in China and Chinese clients doing business in the U.S.
Previously a lawyer in China, Tony has an intimate understanding of China's legal and business environment and maintains close relationships with professionals working in both arenas. This experience, coupled with a strategic alliance formed between White and Williams and Shanghai-based Xue Law Firm, enables him to spend a significant amount of time practicing from China.
While in law school Tony was a member of the Widener Law Review and received the James S. Bowman American Inn of Court Award.
Prior to joining White and Williams, Tony served as a law clerk for the Honorable Bonnie Brigance Leadbetter of the Commonwealth Court of Pennsylvania.
Representative Matters
- Assisted an American company in negotiating a multi-million nuclear technology service and supply agreements with the Chinese and Ukrainian government
- Assisted a Hong Kong company in a seminal case in a Chinese court regarding the enforceability of drag-along right under western legal concepts
- Represented a Philadelphia-based telecommunications firm in establishing a joint venture with two of China’s state-owned telecommunication companies
- Represented numerous clients in significant stock and asset deals in the following sectors:
- Biotechnology
- Engineering
- Financial services
- Oil and gas
- Pharmaceutical and health care
- Software and telecommunication
- Leather products
- Home appliance
- Represented a Pennsylvania-based home appliance company in acquiring equity interest in a Chinese manufacturer
- Advised an American public company, with a Chinese operation entity, with regard to its general security law issues
- Advised a renowned U.S. architectural and design firm with regard to its strategic alliance with a Chinese firm
- Advised a Pennsylvania corporation with regard to its wholly owned Chinese subsidiary’s labor law compliance in China
- Advised a Pennsylvania corporation with regard to its wholly owned Chinese subsidiary’s land use right in China
- Represented a rapidly growing technology service company with establishing a joint venture in Hong Kong with a China-based public company
- Represented shareholders from China, Australia, and the United States in connection with forming a New Jersey corporation for the purpose of distributing products manufactured by a Chinese shareholder, a publicly traded multinational company
- Represented an Italian printing company and its US subsidiary in connection with the formation of a contractual joint venture in Shanghai, China with a Chinese company
- Represented a Pennsylvania corporation in connection with negotiations with Korean and Chinese manufacturers for the outsourcing of products
- Represented a Philadelphia-based limited liability company established to recruit Chinese companies to do business in Philadelphia; presented at the client's business conference in China; advised on the related immigration issues of potential China-based investors
- Advised a New Jersey-based corporation on contract/entity structuring and tax and tariff issues regarding a Beijing-based construction project
- Advised a Delaware company in structuring its ownership and management mechanism to optimize its real estate project consulting business in China
- Advised a Chinese company in investing in a U.S. public company and related filing to the Committee on Foreign Investment in the United States (CFIUS)
- Advised a New York corporation in its regulatory compliance with the new China RoHS
- Advised a Pennsylvania corporation with regard to restructuring its supply chain contracts involving a Hong Kong company sourcing through various affiliates in mainland China
- Advised a Philadelphia-based telecommunication consulting firm with regard to establishing a Chinese joint venture with two state-owned enterprises in Beijing
- Advised a Pennsylvania chemical products manufacturer with regard to selling a portion of its China subsidiary’s equity interest to a Chinese domestic company
- Assisted a large Chinese state-owned venture capital fund in a shareholder and investment dispute in the Delaware Chancery Court against numerous foreign shareholders and a Delaware public company
- Assisted a Chinese steel company in enforcing an arbitration award issued by the Arbitration Institute of the Stockholm Chamber of Commerce in a commercial dispute with a Pittsburgh-based company
- Obtained a judgment and monetary compensation for a Pennsylvania-based company against a Chinese private company in a local Chinese court
- Represented a New Jersey-based company in negotiating with its Chinese supplier regarding a multi-million dollar contract dispute
Recognition & Involvement
Tony was chosen as a 2009 Diverse Attorney of the Year by the Legal Intelligencer for significant contributions to the practice of law. He was also selected by the Legal Intelligencer and the Pennsylvania Law Weekly as one of 35 Lawyers on the Fast Track, an honor that features future leaders in Pennsylvania's legal community.
Tony is a volunteer with the Homeless Advocacy Program providing pro bono legal services helping homeless individuals and families in Philadelphia with their legal needs.
