Participated in a trial in Shanghai regarding the enforceability of drag-along rights under Chinese law.

Represented a rapidly growing technology service company with establishing a joint venture in Hong Kong with a China-based public company.

Assisted a Chinese steel company in enforcing an arbitration award issued by the Arbitration Institute of the Stockholm Chamber of Commerce in a commercial dispute with a Pittsburgh-based company.

Defended two Chinese companies in two separate involuntary bankruptcy petitions filed in the U.S. Bankruptcy Court for the District of Delaware.

Represented shareholders from China, Australia, the United States in connection with forming a New Jersey corporation for the purpose of distributing products manufactured by a Chinese shareholder, a publicly traded multinational company; drafted various formation documents including a shareholders' agreement in both English and Chinese.

Represented an Italian printing company and its U.S. subsidiary in connection with the formation of a contractual joint venture in Shanghai, China with a Chinese company; drafted joint venture agreement and bylaws in both English and Chinese.

Represented a Delaware corporation in connection with forming an equity joint venture in Shandong, China with a large state-owned Chinese company; reviewed the joint venture establishment documents, including comparison of Chinese and English versions, and assisted in the project financing.

Represented a Pennsylvania corporation in connection with negotiations with Korean and Chinese manufacturers for the outsourcing of products; drafted various legal documents including non-competition agreements, manufacturing agreements, and distribution agreements.

Represented a Philadelphia based limited liability company established to recruit Chinese companies to do business in Philadelphia; presented at the client's business conference in China; advised on the related immigration issues of potential China based investors.

Represented a Chinese-American in connection with an estate distribution dispute in Taiwan involving parties in Taiwan, Japan, and the United States.

Counseled a Chinese toy company regarding American unfair competition law.

Assisted a Philadelphia clothing company in connection with the formation of cooperative relationships with Chinese clothing manufacturing companies.

Conducted preliminary due diligence on three Chinese plastic products manufacturing companies in Hong Kong for a U.S. client.

Prepared a pre-transaction confidentiality, non-solicitation and non-disclosure agreement for use by a United States company bringing a domestic partner to China to review overseas operations and partners.

Advised a New Jersey based corporation on contract/entity structuring and tax and tariff issues regarding a Beijing based construction project.

Negotiating a sourcing agreement with a China based factory for consumer products being distributed through Hong Kong.

Advised a Delaware company in structuring its ownership and management mechanism to idealize its real estate project consulting business in China.

Advised an Arizona corporation in opening a representative office in China.

Negotiated for a Delaware company a U.S. joint venture with a leading Chinese public company; advising the same company in its negotiation with the same Chinese company in establishing a Chinese joint venture.

Assisted a Delaware company in its litigation against several Chinese companies in China through our alliance firm in Shanghai.

Representing a leading Chinese venture capital firm in a significant contract dispute with a U.S. public company.

Advised a New York corporation in its regulatory compliance with the new China RoHS.

Gary Biehn and Tony Lu attended the World Trade Center of Greater Philadelphia China Operations Club Meeting on March 10, 2009 and spoke on Due Diligence in China.

Gary Biehn and Tony Lu attended the World Trade Center of Greater Philadelphia China Operations Club Meeting on Sept. 18, 2008 and spoke on China labor law issues.

Gary Biehn and Tony Lu participated in a trial regarding the enforceability of drag-along rights under Chinese law. It is believed to be the first trial that a court in China has addressed the issue.
