• Represented a European-based pharmaceutical manufacturing, development and distribution company in the sale of worldwide distribution rights to a line of products. This representation included the drafting and negotiation of an asset purchase agreement, a commercialization, development and license agreement and related manufacturing and supply agreement.
• Represented a privately held U.S.-based pharmaceutical manufacturer and development company in obtaining private equity financing from U.S. and European-based private equity funds. This representation included the negotiation and drafting of a stock purchase agreement and related investor rights agreement necessary to balance the interests of existing ownership and the new private equity investors.
• Represented a privately held medical device development firm in the license of a patent-pending drug delivery instrument from a publicly traded pharmaceutical company.
• Represented the shareholders of a privately held specialty engineering firm catering to the pharmaceutical industry in connection with the sale of the firm to a publicly traded international engineering firm.
• Represented a privately held manufacturer of medical devices in class action product liability and negligence cases.
• Represented a publicly traded bio pharmaceutical company in class action and individual securities fraud litigation.
