Mr. Bell is counsel in the Business Department. He focuses on corporate and business matters relating to mergers and acquisitions, antitrust, securities transactions, governance, commercial agreements and tax and related issues.
Mr. Bell works with clients in structuring, documenting, negotiating and closing on asset sales and purchases, mergers and other transactions. He counsels emerging and established businesses on entity selection and structure, capitalization, financing, governance and operating documents, and commercial agreements. Further, working with a multidisciplinary team, Mr. Bell advises on certain regulatory issues, including tax, securities and antitrust issues. Mr. Bell also assists clients in preparation of antitrust filings in connection with large mergers and acquisitions.
Mr. Bell received his B.S., summa cum laude, in Economics (with a concentration in Accounting) from the Wharton School of the University of Pennsylvania in 1988. He received his J.D., magna cum laude, graduating second in his class, from the Dickinson School of Law in 1995. Mr. Bell is admitted to practice law in Pennsylvania and New Jersey, and is a member of the American and Pennsylvania Bar Associations. In both 2005 and 2006, he was named in surveys of his peers as a Pennsylvania "Rising Star" attorney by Law & Politics magazine. Mr. Bell is also a Certified Public Accountant (inactive status in Pennsylvania).
